By accessing or using XYRA AI ("the Platform," "we," "us," or "our"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you must not access or use the Platform.
You must be at least 18 years of age to create an account and use XYRA AI. By registering, you represent and warrant that you are of legal age to form a binding contract and meet all eligibility requirements. If you are using the Platform on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.
These Terms constitute a legally binding agreement between you and XYRA AI. Your continued use of the Platform following any changes to these Terms constitutes your acceptance of the revised Terms.
XYRA AI is a cloud-based, AI-powered accounting and financial management platform designed for businesses of all sizes. The Platform provides a comprehensive suite of tools to simplify and automate your financial operations, including but not limited to:
- Invoicing & Billing — Create, send, and manage professional invoices and bills with automated reminders and recurring billing.
- Banking & Reconciliation — Connect bank accounts, auto-import transactions, and reconcile your books with AI-assisted matching.
- Expense Tracking — Record and categorise expenses, capture receipts, and monitor spending in real time.
- Inventory Management — Track stock levels, manage purchase orders, and automate reorder notifications.
- VAT Compliance — Generate VAT-compliant invoices, compute tax liabilities, and prepare filing-ready returns.
- Financial Reporting — Access profit & loss statements, balance sheets, cash flow reports, and customisable dashboards.
- Online Payments — Accept payments from customers through integrated payment gateways.
- Multi-user Collaboration — Invite team members and accountants with role-based access controls.
We reserve the right to modify, update, or discontinue any features of the Platform at any time, with or without notice. We will make reasonable efforts to notify users of significant changes.
To access most features of XYRA AI, you must create an account. When registering, you agree to the following:
- Accurate Information — You must provide truthful, accurate, and complete information during registration and keep your account details up to date at all times.
- Account Security — You are solely responsible for maintaining the confidentiality of your login credentials. You must immediately notify us of any unauthorised access to or use of your account.
- One Account Per Entity — Each individual or business entity may maintain only one account unless explicitly authorised by XYRA AI for multi-entity management.
- Right to Suspend or Terminate — We reserve the right to suspend, disable, or terminate your account at our sole discretion if we reasonably believe you have violated these Terms, provided inaccurate information, or engaged in fraudulent or harmful activity.
You are responsible for all activities that occur under your account, whether or not authorised by you.
XYRA AI offers both free and paid subscription plans. The features available to you depend on the plan you select. By subscribing to a paid plan, you agree to the following:
- Pricing — All pricing is as displayed on our website at the time of purchase. We reserve the right to change pricing at any time, with at least 30 days' prior notice to existing subscribers before any price increase takes effect.
- Billing Cycles — Paid plans are available on monthly or annual billing cycles. The billing cycle begins on the date of your initial subscription purchase.
- Auto-Renewal — All paid subscriptions automatically renew at the end of each billing cycle unless you cancel before the renewal date. You will be charged the then-current rate for your plan upon renewal.
- Taxes — All prices are exclusive of applicable taxes (including VAT) unless stated otherwise. You are responsible for paying any taxes, duties, or levies imposed by your jurisdiction in connection with your use of the Platform.
- Plan Changes — You may upgrade or downgrade your plan at any time. Upgrades take effect immediately, with charges prorated for the remainder of the billing cycle. Downgrades take effect at the start of the next billing cycle.
- Payment Methods — We accept payments via credit cards, debit cards, UPI, net banking, and other methods as displayed during checkout. All payments are processed through secure, PCI-compliant third-party payment processors.
- Failed Payments — If a payment fails, we will attempt to process it again and notify you via email. If payment remains unsuccessful after multiple attempts, your account may be downgraded to the free plan or suspended until the outstanding balance is settled.
- Refund Policy — For annual subscription plans, you may request a pro-rata refund within 14 days of purchase or renewal. Monthly plans are non-refundable. Refund requests must be submitted to info@thexyra.ai. Refunds are processed within 7–10 business days to the original payment method.
- Currency — All prices are listed in UAE Dirhams (AED) unless otherwise specified. If you are paying from outside the UAE, your bank may apply currency conversion fees, which are your responsibility.
As a user of XYRA AI, you agree to use the Platform responsibly and in compliance with all applicable laws. Specifically, you agree that you will:
- Use the Platform Lawfully — Only use XYRA AI for lawful purposes and in accordance with these Terms. You must not use the Platform in any way that violates any applicable local, state, national, or international law or regulation.
- Ensure Data Accuracy — Ensure that all financial data, records, and information you enter into the Platform are accurate and complete. XYRA AI is not responsible for errors resulting from inaccurate data input.
- Comply with Applicable Laws — Comply with all tax, accounting, and financial regulations applicable to your business. The Platform is a tool to assist with compliance, not a substitute for professional advice.
- Not Reverse Engineer or Misuse — Not attempt to reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Platform. You must not probe, scan, or test the vulnerability of the Platform or breach any security measures.
- Not Use for Illegal Activities — Not use the Platform for money laundering, tax evasion, fraud, or any other illegal activity. We reserve the right to report suspicious activity to the relevant authorities.
- Account Activity — Be responsible for all activity under your account, including actions taken by employees, contractors, or other individuals whom you grant access to your account.
- Ownership — XYRA AI and its licensors retain all right, title, and interest in and to the Platform, including all software, algorithms, designs, text, graphics, logos, icons, and other intellectual property. All rights not expressly granted herein are reserved.
- Your Data — You retain full ownership of all data, content, and information you upload, enter, or generate through your use of the Platform ("User Data"). We do not claim any ownership rights over your User Data.
- Limited License — Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your internal business purposes during the term of your subscription.
- Trademarks — "XYRA AI," the XYRA AI logo, and all related names, logos, product and service names, designs, and slogans are trademarks of XYRA AI or its affiliates. You may not use such marks without our prior written permission.
- Privacy Policy — Your use of XYRA AI is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your personal and business information. By using the Platform, you consent to the practices described therein.
- User Data Ownership — You retain ownership of all User Data. We access your data only to provide and improve the Platform, as described in our Privacy Policy, and as required by law.
- Data Processing — By using the Platform, you authorise XYRA AI to process your data as necessary to deliver the services. For enterprise customers, a separate Data Processing Agreement (DPA) may be executed upon request.
- Confidentiality — We treat your financial data as confidential. We will not sell, rent, or share your data with third parties for marketing purposes. Access to your data within our organisation is restricted to authorised personnel on a need-to-know basis.
- Uptime Target — We strive to maintain 99.9% uptime for the Platform, measured on a monthly basis. This excludes scheduled maintenance windows and circumstances beyond our reasonable control.
- Scheduled Maintenance — We may perform scheduled maintenance during off-peak hours (typically between 12:00 AM and 5:00 AM IST on weekends). We will provide advance notice of scheduled maintenance whenever possible via email or in-app notification.
- Force Majeure — XYRA AI shall not be liable for any failure or delay in performance resulting from events beyond our reasonable control, including but not limited to natural disasters, acts of government, internet outages, cyberattacks, pandemics, or other force majeure events.
- No Guarantee — While we make every effort to ensure continuous availability, we do not guarantee that the Platform will be uninterrupted, error-free, or free from harmful components at all times.
To the maximum extent permitted by applicable law:
- "As Is" Service — The Platform is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
- No Indirect Damages — In no event shall XYRA AI, its directors, officers, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or other intangible losses.
- Maximum Liability — Our total aggregate liability to you for any and all claims arising out of or related to these Terms or your use of the Platform shall not exceed the total amount of fees paid by you to XYRA AI during the twelve (12) months immediately preceding the event giving rise to the claim.
- No Responsibility for Decisions — XYRA AI is a tool to assist with accounting and financial management. We are not a licensed accounting firm, tax advisor, or financial consultant. You are solely responsible for all tax, accounting, and financial decisions made using the Platform. We strongly recommend consulting a qualified professional for specific financial advice.
You agree to indemnify, defend, and hold harmless XYRA AI, its parent company, subsidiaries, affiliates, directors, officers, employees, agents, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising from:
- Your use of or access to the Platform
- Your violation of any provision of these Terms
- Your violation of any applicable law, rule, or regulation
- Your violation of any third-party right, including any intellectual property, privacy, or proprietary right
- Any claim that your User Data caused damage to a third party
- Any misuse of the Platform by you or anyone using your account
This indemnification obligation will survive the termination of these Terms and your use of the Platform.
- User Termination — You may terminate your account at any time by navigating to your account settings or by contacting our support team. Upon termination, your subscription will remain active until the end of the current billing period, after which it will not renew.
- Termination by XYRA AI — We may suspend or terminate your account immediately, without prior notice or liability, if you breach any provision of these Terms, engage in fraudulent activity, or for any other reason at our sole discretion.
- Data Export Period — Following termination, you will have a 30-day grace period to export your data from the Platform. After this period, we reserve the right to permanently delete all User Data associated with your account. We are not obligated to retain your data beyond this period.
- Effect of Termination — Upon termination, your right to access and use the Platform will cease immediately (subject to the data export period). Sections relating to Intellectual Property, Limitation of Liability, Indemnification, Governing Law, and Dispute Resolution shall survive termination.
XYRA AI reserves the right to modify, amend, or update these Terms at any time at our sole discretion. When we make changes:
- We will update the "Last Updated" date at the top of this page.
- For material changes, we will notify you via email and/or a prominent notice within the Platform at least 15 days before the changes take effect.
- Your continued use of the Platform after the effective date of any modifications constitutes your acceptance of the revised Terms.
- If you do not agree to the updated Terms, you must stop using the Platform and terminate your account before the changes take effect.
We encourage you to review these Terms periodically to stay informed about our terms and conditions.
These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates, without regard to its conflict of law provisions.
Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in Dubai, UAE, and you hereby consent to the personal jurisdiction and venue of such courts. You waive any objection to the exercise of jurisdiction over you by such courts and to the venue of such courts.
In the event of any dispute, controversy, or claim arising out of or relating to these Terms or your use of the Platform, the parties agree to the following resolution process:
- Amicable Resolution — The parties shall first attempt to resolve the dispute through good-faith negotiation. You agree to contact us at info@thexyra.ai and allow a period of 30 days for amicable resolution before initiating any formal proceedings.
- Arbitration — If the dispute cannot be resolved amicably, it shall be referred to and finally resolved by binding arbitration in accordance with the UAE Federal Arbitration Law. The arbitration shall be conducted by a sole arbitrator mutually agreed upon by the parties, with the seat of arbitration in Dubai, UAE. The language of arbitration shall be English.
- Injunctive Relief — Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.
